SCHEDULE 3 : PLAYER TERMS

1. From:             [Signatory's name] (the "Squad Member")

2. To:           (A) ICC Development (International) Limited ("IDI"); and

3. (B) [            ] (the "Competitor")

4. In consideration of the Squad Member being invited to participate in the Event, the Squad Member hereby provides an undertaking to IDI and the Competitor in the terms set out below.

5. In these Player Terms, words and phrases defined in the Participating Nation Agreement (as defined below) shall carry the same meanings herein.

6. The Squad Member hereby confirms that he has been provided with a copy of the Participating Nation Agreement and has read and understood the same.
7. The Squad Member agrees to be bound by and will comply fully with the terms of the Participating Nation Agreement (to the extent those terms are applicable to him) as if he were a party to the same including (without limitation) Clauses 5, 6, 7, 15 and 30 thereof and the Squad Member agrees to be bound by and will fully comply with the ICC Code (to the extent applicable), the Playing Conditions, the Media Guidelines and the Doping Regulations.

8. The Squad Member will co-operate fully and positively at all times with all reasonable requirements of IDI and UCBSA in connection with aspects of the organisation and conduct of the Event and with all reasonable requirements of IDI, GCC, Licensees and UCBSA in relation to the exploitation of the Commercial Rights.

9. The Squad Member hereby consents to the making of recordings (visual, audio, or audio/visual and in or on any medium) of his performances and/or appearances during the Event. The Squad Member further consents to the exploitation of such recordings by IDI, GCC and Licensees throughout the world without limit of time by any and all means and in all media whether now known or hereinafter invented (including in and in connection with interactive computer games and software) but excluding any such exploitation in a manner which may reasonably be considered to constitute a personal endorsement by the Squad member of any product or service.

10. The Squad Member hereby assigns, with full title guarantee, to IDI the entire copyright and all similar rights (including rental and lending rights and performer's rights) in the Squad Member's performances and appearances at the Event to hold to IDI absolutely throughout the world for the full extent of copyright and all renewals and extensions thereof.

11. In favour of IDI, the Squad Member hereby irrevocably and unconditionally waives (if and to the extent possible) all moral rights (if any) to which the Squad member is or may become entitled under the law of any country in relation to his performances and/or appearances at the Event.

12. The Squad Member hereby grants to IDI the irrevocable right during the Term and for six months following the conclusion of the Event (save as otherwise provided by paragraph 9 of these Player Terms) to use, and/or sub-license the use by other persons of the Squad Member's name(s), photograph(s), likeness(es), performance(s), autograph and biographical material in connection with the promotion of the Event and exploiting the Commercial Rights (excluding the Host's Rights). Such right shall be for the duration of the Term and for six months following the conclusion of the Event, save as otherwise provided by pragraph 9 of these Player Terms and save in respect of use of the attributes/materials concerned (as referred to above) in and in connection with interactive computer games and software (in any medium) in which respect the right granted shall be without limit of time. Such name(s), photograph(s), likeness(es) and biographical material shall not (without the prior written consent of the relevant Squad Member) be used in any manner which may reasonably be considered to constitute a personal endorsement by any such Squad member of any product or service.

13. The Squad Member agrees upon request by IDI and without charge to execute all further documents and do any further acts as are necessary to give full effect to the content of these Player Terms; in particular (but without limitation) the Squad Member agrees to execute assignments and or formal licences or waivers (as applicable) in favour of IDI, GCC and/or Licensees as appropriate in furtherance of paragraphs 9, 10, 11 and 12 above.

14. The Squad Member agrees that IDI shall be entitled to assign and/or sub-license the rights set out in paragraphs 9, 10 and 12 above to GCC and/or Licensees as appropriate.

15. The Squad Member shall not (from 30 days before the first Match until 30 days after the last Match in the Event), directly or indirectly allow his name, voice, image, likeness or other representation to be used either:

    (A) in any advertising or endorsement; or

    (B) for any commercial purpose;

    in any media whatsoever by or on behalf of a competitor of, or any product of any competitor of, any Official Sponsor, Global Partner or Official Supplier or which in either case involves a direct or indirect association with the Event and/or which seeks to exploit (whether implicitly or explicitly) any connection therewith without the prior written approval of IDI. For the avoidance of doubt the above prohibition shall cover (without limitation) the appearance of Squad Members in advertisements endorsements or other commercial activities wearing Team Kit, Team Uniform, Practice Kit or other national kit or any clothing confusingly similar to any of the foregoing.

16. Without prejudice to the generality of paragraph 15 above, the Squad Member shall not take part in, co-operate with or assist any other party to undertake activities which amount to ambush marketing in relation to the Event or the Commercial Rights.

17. The Squad Member will co-operate with IDI and GCC (as IDI may reasonably require) to avoid any conflict between the Commercial Rights and the Squad Member's interests, including but not limited to conflicts involving the rights or actions of any Sponsor of the Squad Member. In the event of any such conflict arising, the Squad Member shall, upon becoming aware thereof take all steps reasonably necessary to avoid or alleviate conflict so as to avoid any adverse effect to the value of the Commercial Rights.

18. The Squad Member shall not:

    1. bet on any Match or series of Matches, or on any matter connected with any Match or series of Matches (a "Matter"), in which such Squad Member may take part or in which the Member Country of any such individual may be represented;

    2. induce or encourage any other person to bet on any Match or series of Matches or on any Matter or to offer the facility for such bets to be placed;

    3. gamble or enter into any other form of financial speculation on any Match or on any Matter;

    4. induce or encourage any other person to gamble or enter into any other form of financial speculation on any Match or on any Matter;

    5. be a party to contriving or attempting to contrive the result of any Match or the occurrence of any Matter;

    6. fail to perform on his merits in any Match owing to an arrangement relating to betting on the outcome of any Match or on the occurrence of any Matter;

    7. induce or encourage any other player not to perform on his merits in any Match owing to any such arrangement;

    8. receive from another person any money, benefit or other reward (whether financial or otherwise) for the provision of any information concerning the weather, the teams, the state of the ground, the status of, or the outcome of, any Match or the occurrence of any Matter unless such information has been provided to a newspaper or other form of media in accordance with an obligation entered into in the normal course and disclosed in advance to the Cricket Authority of the relevant Member Country;

    9. receive any money, benefit or other reward (whether financial or otherwise) which could bring him or the game of cricket into disrepute;

    10. provide any money, benefit or other reward (whether financial or otherwise) which could bring him or the game of cricket into disrepute; or

    11. entertain any approaches from another person to engage in conduct such as that described in any of the above sub-paragraphs (A) to (J).

19. The Squad Member shall comply with all reasonable requirements of IDI and/or UCBSA regarding the presentation of the replica of the ICC World Cup Trophy to the winner of the Event.

20. The Squad Member shall not incur any debt or charge, or undertake any obligations, on behalf of IDI or UCBSA.

21. The Squad Member agrees and submits to the jurisdiction of, and shall abide by the directions and decisions of, the Event Technical Committee, including, without limitation, decisions relating to those matters set out in schedule 8 to the Participating Nation Agreement, (including breaches by the Squad Member of these Player Terms) and also to the decisions and directions of the Referee of each Match.

22. These Player Terms shall be governed by English law and the parties hereby submit to the exclusive jurisdiction of the English Courts.
